These Terms and Conditions (the "Agreement") govern your access to and use of the website located at http://www.meyeraisolutions.com (the "Site"), and are entered into between Meyer AI Solutions, Inc. ("Meyer AI," "we," "us," or "our") and the entity or individual ("Client," "you," or "your") who has executed the associated Service Agreement with Meyer AI. By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, including any additional policies, guidelines, or rules incorporated herein by reference. If you do not agree to these Terms and Conditions, you must not use the Site.
Acceptance of Terms
By accessing or using the Site, you agree to comply with and be bound by these Terms and Conditions. Meyer AI reserves the right to modify, amend, or update these Terms and Conditions at any time, with or without notice to you. All modifications will be effective upon posting to the Site. Continued use of the Site following the posting of revised Terms and Conditions constitutes your acceptance of such changes. We encourage you to review these Terms and Conditions periodically to ensure you are aware of any updates.
Client Access to the Site and Services
Meyer AI grants you a non-exclusive, non-transferable, and limited license to access and use the Site and related services solely for your internal business purposes, subject to these Terms and Conditions. You agree that your use of the Site will be in strict accordance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account information, including login credentials, and for all activities conducted under your account.
Intellectual Property
Meyer AI retains all right, title, and interest in and to all content, features, and functionality of the Site, including but not limited to text, images, software, code, and design elements (the "Content"), as well as any trademarks, logos, or service marks (the "Marks") used in connection with the Site. Except as expressly authorized in this Agreement, you may not copy, modify, distribute, sell, or create derivative works based on the Content or the Marks without prior written consent from Meyer AI. All rights not expressly granted to you under this Agreement are reserved by Meyer AI.
Client Data
As between Meyer AI and you, you retain ownership of all data that you upload to the Site (the "Client Data"). You grant Meyer AI a limited, non-exclusive, royalty-free license to use, store, process, and display the Client Data solely for the purpose of providing the services described in the Service Agreement. Meyer AI shall take reasonable measures to protect the confidentiality and security of your Client Data in accordance with its data protection policies.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed by the other party ("Confidential Information"). Confidential Information shall include, without limitation, all business, technical, and financial information, data, and materials that are marked or otherwise identified as confidential at the time of disclosure. The receiving party shall not disclose the Confidential Information to any third party or use it for any purpose other than as necessary to fulfill its obligations under this Agreement. Confidentiality obligations will remain in effect during the term of this Agreement and for a period of three (3) years following its termination, unless otherwise required by law.
Client Representations and Warranties
By using the Site, you represent and warrant that all information provided by you is true, accurate, and complete. You further represent and warrant that you will comply with all applicable laws and regulations in connection with your use of the Site, and that you will not use the Site for any illegal or unauthorized purpose. You will not attempt to gain unauthorized access to the Site or interfere with its proper operation. Additionally, you will not upload any harmful or malicious content to the Site, including but not limited to viruses, malware, or any other disruptive technologies.
Prohibited Activities
You agree not to engage in any activities in connection with your use of the Site that violate any applicable local, state, or international laws and regulations, including but not limited to uploading or transmitting viruses, worms, or other harmful software; using the Site to transmit or store content that is defamatory, discriminatory, or otherwise unlawful; attempting to access the accounts or systems of other users; reverse engineering, decompiling, or disassembling any portion of the Site or its underlying code; using any automated system or software to extract data from the Site for commercial purposes without express written permission from Meyer AI.
Termination of Access
Meyer AI reserves the right to suspend or terminate your access to the Site, with or without cause, and with or without notice, for any violation of these Terms and Conditions or for any conduct that Meyer AI, in its sole discretion, believes is harmful to its interests, other users, or the Site itself.
Disclaimer of Warranties
THE SITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MEYER AI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION OR CONTENT AVAILABLE THROUGH THE SITE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEYER AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE OR THESE TERMS AND CONDITIONS, EVEN IF MEYER AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MEYER AI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO MEYER AI UNDER THE SERVICE AGREEMENT IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless Meyer AI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising from or in connection with your use of the Site, any breach of these Terms and Conditions, or any infringement of any third-party rights by your Client Data.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the state in which Meyer AI is headquartered, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in [Insert City/State], and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Severability
If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the extent necessary to make it valid and enforceable while reflecting the intent of the original provision.
Entire Agreement
These Terms and Conditions, together with any applicable Service Agreement, constitute the entire agreement between you and Meyer AI regarding the use of the Site, superseding any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the subject matter herein. In the event of any conflict between the terms of this Agreement and the Service Agreement, the terms of the Service Agreement shall govern.
